Registered office address in Toronto or Burlington, Ontario

Korporex provides a registered office address in Downtown Toronto or in Burlington, Ontario, for Ontario (OBCA) corporations and for federal (CBCA) corporations whose articles name Ontario as the province of the registered office. The service runs for a 12-month term billed annually in advance, and it includes filing the change of registered office with the registry and a scanned copy of the mail received at the address, emailed to you every month.

What a registered office is

Every corporation must have a registered office at all times. Corporations Canada describes it as the corporation's legal address and states that it cannot be a post office box. Under the CBCA, a federal corporation's registered office must be in the province specified in its articles; under the OBCA, an Ontario corporation's registered office must be in Ontario. The registered office address appears on the public corporate record. The corporation's records may be kept at the registered office or at another place the directors designate: in Canada for a federal corporation, in Ontario for an Ontario corporation. If you are incorporating, our guide to incorporating in Ontario covers the other choices made at that stage.

Who this service is for

  • Owners who run their business from home and prefer not to have their home address on the public corporate registry.
  • Corporations without a fixed office in Ontario, such as online businesses or owners who travel.
  • Federal corporations whose articles name Ontario as the province of the registered office.

What we do and what you confirm

  • You choose Toronto or Burlington. Korporex selects the specific street address; it is not disclosed in advance.
  • We prepare the resolution for the move and file the change of registered office with Corporations Canada (Form 3) or the Ontario Business Registry (notice of change).
  • Every month, we email you a scanned copy of the mail received at the address.
  • You confirm the corporation's current registered office and, for a federal corporation, that its articles name Ontario. You also acknowledge that the annual fee is non-refundable, including if you move the registered office elsewhere before the term ends.

Rules that apply to the move

A federal corporation's directors can change the registered office address within the province named in its articles; if the articles name another province, Articles of Amendment are needed first. Under the OBCA, the directors of an Ontario corporation can move the registered office within the same municipality or geographic township by resolution, while a move to another municipality in Ontario requires a special resolution of the shareholders. Both registries require the change to be reported within 15 days, and neither charges a government fee for it. To move the registered office to an address of your own instead, use our address change service.

Registered office service: common questions

Can a corporation use the owner's home address as its registered office?+

Yes, if it meets the statutory requirements: for a federal corporation, an address in the province named in the articles that is not a post office box; for an Ontario corporation, an address in Ontario. The registered office address is shown on the public corporate record, which is why many home-based owners use a separate address.

Can a federal corporation use a Korporex address?+

Only if its articles name Ontario as the province of the registered office, because the CBCA requires the registered office to be in the province specified in the articles. If the articles name another province, Articles of Amendment changing the province are needed before the registered office can move to Ontario.

How is mail handled?+

Korporex emails you a scanned copy of the mail received at the address once a month. The address is the corporation's registered office on the public record, so official notices and correspondence sent to the corporation at that address are included in the monthly scans.

Is the annual fee refundable if the corporation moves its office?+

No. The fee covers a 12-month term, is billed annually in advance and is non-refundable, including if the corporation moves its registered office elsewhere before the term ends. Moving to another address requires filing a new change of registered office within 15 days.

Do the corporation's records have to be kept at the registered office?+

Not necessarily. The CBCA allows a federal corporation to keep its records at the registered office or at another place in Canada designated by the directors, and the OBCA allows an Ontario corporation to keep them at the registered office or at another place in Ontario designated by the directors.
